(“Sariel”), a privately held corporation existing under the laws of the Province of British Columbia. As a result of the Private Placement, ThreeD has acquired 3,750,000 common shares of Sariel at a price of $0.02 per share. In consideration, ThreeD has issued an aggregate of 150,000 common shares of the Company at a deemed price of $0.50 per common share. No commission or finders’ fees were paid in connection with the Private Placement.
